A Gray Jedi is a Light Side Jedi who bends the Jedi Code a bit, as in not strictly following it to its letter. This is what George Lucas said himself in describing Qui-Gon Jinn. He claimed that Master Jinn was a Gray Jedi. I know in my studies to find what was written about the Jedi Code, and the Jedi Order, I came across a discussion on Qui-Gon Jinn being a Gray Jedi because of what he did in Pahntom Menace to accomplish his mission: After the failed negotiations with The Trade Federation Viceroy, get Queen Amildala to Coruscant to inform them of the Trade Federation's illegal take-over of Naboo. Some of the things that Qui-Gon did aren't exactly "Proper Jedi Behavior", but he didn't break the Jedi Code, he just bent the rules a bit.... After reading the Jedi Code in its differing, but same interpreations, Qui-Gon did just this.
Master Jinn was also called a Gray Jedi because he wasn't exactly popular with the Jedi Council. In fact it is written that Yoda disagreed with Qui-Gon about his interpretation of the Force by saying that it has a Living Aspect and a Cosmic Aspect. Yoda strongly believed that the Force was primarily its Cosmic Aspect, Qui-Gon said that it also has a Living Aspect, which Yoda strongly disagreed with. This, plus Qui-Gon being branded as a Maveric Jedi (like Master Dooku, Qui-Gon Jinn's Jedi Master), and having beeing an independant thinker, made him become "branded" a Gray Jedi. In retroscpective, Count Dooku did tell Obi-wan that he and Qui-Gon, if he were alive, would never go along with the Senate's corruption. This is because it "wasn't right" to have corruption in a body that was supposed to be truly doing good for the Galactic Society. Though it wasn't said aloud, the Jedi Council knew about the Senate's corruption, but did nothing about it until it was to late to make a difference, which was the dawn of the Clone Wars.
In summary, a Gray Jedi is one who is out of favor with the Jedi Council because they have done something that isn't popular with the Jedi Council, in their opinion. Whether it is questionable behavior, or a differing point of view on their interpreation of the Force or the Jedi Code. However, a Gray Jedi is just a label for a Jedi who serves the Light Side of the Force as a faithful Jedi Knight to the Force and the Jedi Council. It means, in no way, that a Jedi Knight is a Dark Jedi/Sith, or a Fallen Jedi who has strayed from the Jedi Path as a Jedi Knight, or Light Side Jedi.
